Trial License Agreement
IMPORTANT - READ CAREFULLY: BY CLICKING ON THE "ACCEPT" BUTTON OR BY OPENING THE SEALED PACKET(S) TO MAKE AND UTILIZE COPIES OF THE ACCOMPANYING SOFTWARE ("SOFTWARE"), YOU AGREE TO BE BOUND BY THE TERMS OF THIS TRIAL LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS TRIAL LICENSE AGREEMENT, PROMPTLY RETURN THE SOFTWARE AND ITS ACCOMPANYING DOCUMENTATION TO JME SOFTWARE, LLC, 14100 SOUTHWEST FREEWAY, SUITE 400, SUGAR LAND, TEXAS 77478. THE SOFTWARE IS PROTECTED BY COPYRIGHT LAWS AND INTERNATIONAL COPYRIGHT TREATIES, AS WELL AS OTHER INTELLECTUAL PROPERTY LAWS AND TREATIES. THE SOFTWARE IS LICENSED, NOT SOLD. ---------------------------------------- TRIAL SOFTWARE LICENSE AGREEMENT FOR JME SOFTWARE This is a legal and binding Trial License Agreement (“Trial Agreement”) between You (either an individual or an entity) ("You" or Your") and JME Software, LLC, or a related international subsidiary ("JME"). Before breaking the seal or using the Product, please provide this Trial Agreement to Your counsel or management, so that the applicable authority has an opportunity to review it. YOU MAY REJECT THIS TRIAL LICENSE AGREEMENT IF THESE TERMS ARE UNACCEPTABLE OR CANNOT BE RESOLVED THROUGH NEGOTIATION ONLY BY RETURNING THE SOFTWARE TO JME AS INDICATED ABOVE WITHOUT INSTALLING THE SOFTWARE. INSTALLATION OF THE SOFTWARE SHALL CONSTITUTE CONCLUSIVE EVIDENCE OF YOUR ACCEPTANCE OF THE TERMS OF THIS TRIAL LICENSE AGREEMENT. This Trial Agreement establishes a license for you to evaluate JME’s Software Product(s) and related user documentation contained in the media or by this download from our web site (“Software”). JME hereby grants to You a nonexclusive, nontransferable, royalty-free, limited license to use the Software for a thirty (30) day period commencing on the day of installation ("Trial Period"), on the designated CPU, according to the terms of this Trial Agreement. Unless You and JME subsequently enter into a mutually agreeable Perpetual Use License Agreement governing the rights and obligations of the parties with respect to the Software, the license granted hereunder will terminate automatically at the end of the Trial Period, and upon termination, You will return all copies of the Software to JME. Restrictions. The Software and Documentation and any copies, translations, compilations, partial copies, modifications, improvements, enhancements and updates are proprietary to JME or its Licensors, contain copyrighted material, trade secrets and other proprietary material. You agree to receive the Software and any other materials delivered to You or confidential information disclosed to You hereunder in strict confidence and not disclose it in any manner to any person, firm or entity, except to Your employees, agents or consultants with a bona fide need to know. You will not transfer, sell, modify, create derivative works, translate, reverse engineer, reverse compile or decompile the Software, in whole or in part, nor create or attempt to create, the source code version of the Software by reverse engineering or disassembling of the design, algorithms or other proprietary trade secrets, or using any other methods. Your obligation of confidentiality hereunder will survive the expiration of the Trial Period or the termination of the time during which any Software is in your possession. You will use the Software, and any such materials and information delivered or disclosed to you hereunder only internally within your own company, for evaluation purposes, and You will not use the Product in a production environment. You shall not remove any proprietary notices from any part of the Software or Documentation. Termination. This Trial License Agreement is effective during the Trial Period unless sooner terminated. You may terminate this License at any time by returning to JME, or destroying, the Software and related documentation and all copies thereof. This Trial License Agreement will terminate immediately without notice from JME at the end of the Trial Period or upon written notice if You fail to comply with any provision of this Trial License Agreement. Upon termination You must return to JME, or destroy, the Software and related documentation and all copies thereof, and certify in writing to JME that all copies have been returned and/or destroyed. U.S. Government Restricted Rights. This Product is provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the U.S. Government is subject to restrictions set forth in FAR §52.227-14 (June 1987) Alt. III (g)(3)(June 1987), FAR §52.227-19 (June 1987), or sub-clause (c)(1)(ii) of Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, as applicable. Contractor is JME Software, LLC, 14100 Southwest Freeway, Suite 400, Sugar Land, Texas 77478, 281-207-4902. Disclaimer of Warranty on JME Software. You expressly acknowledge and agree that use of the Software is at Your sole risk. The Software and related documentation are provided "AS IS" and without warranty of any kind and JME EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. JME DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ALL DEFECTS IN THE SOFTWARE WILL BE CORRECTED. FURTHERMORE, JME DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE OR RELATED DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY JME OR A JME AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. Limitation of Liability. UNDER NO CIRCUMSTANCES INCLUDING NEGLIGENCE, SHALL JME BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, AND LOSS OF DATA THAT RESULT FROM THE USE OR INABILITY TO USE THE SOFTWARE OR RELATED DOCUMENTATION, EVEN IF JME OR A JME AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN NO EVENT SHALL JME’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR IN TORT, INCLUDING NEGLIGENCE) EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE. Controlling Law and Severability. This Trial License Agreement shall be governed by and construed in accordance with the laws of the United States and the State of California, as applied to agreements entered into and to be performed entirely within California between California residents. If for any reason a court of competent jurisdiction finds any provision of this Trial License Agreement, or portion thereof, to be unenforceable, that provision of the Trial License Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Trial License Agreement shall continue in full force and effect. Complete Agreement. This Trial License Agreement constitutes the entire agreement between the parties with respect to the use of the Software and its related Documentation, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. The use of the Software shall be governed by the terms of this Trial License Agreement, and nothing contained in any purchase order submitted by You shall in any way serve to modify or add to the terms of this Trial License Agreement. No amendment to or modification of this Trial License Agreement will be binding unless in writing and signed by a duly authorized representative of JME. If this product was acquired outside the United States, then local law may apply.
